ARTICLE I

The name is "Amateur Radio Club of Parker County", which is a Texas non Profit Corporation organized under the Texas Non Profit Corporation Act.


ARTICLE II

The purpose is:

1. To enhance the enjoyment of amateur radio.

2. To share individual and group knowledge.

3. To better understand the state of the art as it changes and improves.

4. To provide public service in accordance with part 97 of FCC rules.

5. To have a well informed group to draw from in time of emergencies.

6. To assist its members in Amateur Radio.

7. To create a better understanding of amateur radio with the general public.

8. To assist in correcting abuses in the amateur community.

9. To assist in establishment and funding of repeaters, relay stations and emergency equipment.


ARTICLE III

The Club may acquire, take by gift, purchase, devise or bequest, real and personal property or purposes appropriate in the exercise of its functions and may lease, mortgage or dispose of real and personal property including the right to take, hold and dispose of "Club" electronic gear or any other property the Board of Directors decide to acquire or dispose of.


ARTICLE IV

The Club shall continue until its purposes are fulfilled, unless sooner dissolved by three-fourths vote of all its members.


ARTICLE V

The governing body of the Club shall be vested in a board of Directors, who shall be full members of the Club, and such officers and committees as said Board of Directors may appoint in conformity with the Articles of incorporation and with the Bylaws of this Club. The Board of Directors and officers shall consist of five (5) following members:

1. President

2. Vice President

3. Secretary-Treasurer

4. Immediate Past President

5. One director, to be elected annually by the general membership.

The PRESIDENT shall be the presiding officer, in his absence the Vice President. The above officers shall be elected at the annual meeting and any three-(3) members shall constitute a quorum at a scheduled board meeting.

Any action by the Club that requires the expenditure of non-budgeted funds in excess of $200 requires that the expenditure be published in the Newsletter and set aside till the next scheduled meeting.


ARTICLE VI

The annual meeting of the members of the Club shall be held on the date prescribed in the Bylaws, the hour and place to be set by the Board of Directors.


ARTICLE VII

The Board of Directors of the Club shall adopt, but not amend or repeal Bylaws, providing; however, that any bylaw may be amended by vote of the membership at any annual meeting or any special meeting called for that purpose.


ARTICLE VIII

All persons, corporations or associations who may pay the annual dues prescribed by the Bylaws shall, by virtue of such payment be members of this Club.


ARTICLE IX

These Bylaws may be amended by vote of two-thirds of the members in good standing in attendance at any regular meeting, or at any special meeting called for that purpose, providing that such proposed amendments shall be plainly stated and mailed to the members in the call for the meeting at which they are to be considered.


ARTICLE X

The private property of the members of this Club may be used at club functions but the club will not be liable for any use therefrom to the member and the member will not be liable for the debts of this Club and shall be wholly exempt there from.


ARTICLE XI

MEMBERSHIP

Section 1. Types of membership shall consist of Full, Associate, Life, Honorary, and Family:

A. Full Membership requires that the member hold a current FCC Amateur License and all dues are current.

B. Associate Membership requires that the member's dues are current, however, may not vote or hold office.

C. Life Membership is offered to those who donate Two Hundred and Fifty Dollars ($250.00) to the Club. They may vote and hold office if they hold a current amateur license.

D. Honorary Membership may be conferred upon an individual providing such an honor is in the Club's best interest. Such a member may vote and hold office if he holds a current amateur license.

E. Family Membership requires that the family have one (1) membership at full dues and one (1) membership at half dues, for spouse or children under 18 or full time students living at home, to be included in our membership roles at no extra initiation fee or annual dues.

Section 2. Qualifications for admittance to this Club are a sincere desire for the enhancement of amateur radio.

Section 3. Application for membership must be sponsored by a full member in good standing.

Section 4. Initiation Fee and Dues:

A. Initiation fee shall be Five Dollars ($5.00) for individuals.

B. Initiation fee for corporations, associations, companies and clubs shall be as determined by vote of not less than two-thirds of the members in good standing in attendance at any regular meeting, or at any special meeting called for that purpose. The amount is payable to Treasure not later than July 1st of each year.

C. Annual dues shall be as determined by vote of not less than two-thirds of the members in good standing in attendance at any regular meeting, or at any special meeting called for that purpose. The amount is payable to Treasurer not later than July 1st of each year.

Section 5. A member who resigns in good standing may reapply for membership without initiation fee.

Section 6. Dropped from membership for non-payment of dues:

A. A member who has not paid the current dues by November 30 may be dropped from membership.

B. A member who has been dropped may reinstate membership by payment of all Dues in arrears, or payment of initiation fee and current dues.


ARTICLE XII

QUORUM - A quorum for conducting the business of the Board of Directors shall be not less than three (3) members of the Board empowered to vote.

ARTICLE XIII

Section 1. The accounting year will begin on the first day of June and end on the thirty first day of May except for the first year of operation which will end on the thirty first day of May.

Section 2. All obligations for which the Club is responsible shall be approved for payment by the membership at a regular meeting or in the motion creating the activity.

Section 3. An annual accounting of the receipts and disbursements will be made available to the membership during the month of June at the annual meeting.


ARTICLE XIV

COMMITTEES AND SPECIAL OFFICERS - Committees and special officers shall be appointed by the President and confirmed by the Board of Directors. The duration of these appointments shall be no longer than the remaining term of office of the President making the appointment.


ARTICLE XV

ELECTIONS AND TERMS

1. President and Vice-President must hold General or Higher class license.

2. Election shall be by ballot.

3. Officers shall be elected for a term of one (1) year.

4.Each "full" member has one (1) vote.


ARTICLE XVI

DUTIES

Section 1. The President shall:

A. Preside at all meetings of the Board, general meetings and any special meetings.

B. Appoint the committee heads immediately after installation.

C. Sign all checks with the Secretary-Treasurer.

D. Sign all contracts with the Secretary-Treasurer, after approval of the Board.

E. Sign all membership cards with the Secretary-Treasurer.

F. Call a special meeting when it is necessary.

Section 2. The Vice-President shall:

A. Assist the President and assume the duties of the President in his absence.

B. Be the Hamfest Committee Chairman.

Section 3. The Secretary-Treasurer shall:

A. Record the minutes of all proceedings of the Board and regular and special meetings.

B. Shall sign all contracts with the President.

C. Have responsibility of all funds

D. Sign all checks with President.


ARTICLE XVII

MEETINGS

Section 1. There shall be an annual meeting during the month of June each year.

Section 2. A quorum at an annual meeting shall be not less than two-thirds of the average of the members empowered to vote in attendance at the previous six (6) consecutive regular club meetings.


ARTICLE XVIII

AMENDMENTS - The Bylaws may be amended or revised by an affirmative vote of two-thirds of all members present at a meeting called for that purpose.


ARTICLE XVIV

DISSOLUTION - Should the Club be dissolved, all material possessions of the Club will be sold and the monies obtained from the sale shall be distributed to any State, City, Municipal district or any other organization exempt from Tax under 501(c)(3) of the Internal Revenue Code as amended, after all bills have been paid.


ARTICLE XX

RULES OF ORDER - Parliamentary authority will be "Roberts Rules of Order"


ARTICLE XXI

OFFICE VACATED - When an Office is vacated, because of resignation or death, the President shall appoint someone to fill the unexpired term.


ARTICLE XXII

In the case of conflict with any provision of these BYLAWS and The CORPORATE NON PROFIT CHARTER, the provisions of the CHARTER shall prevail. The Club will perform no acts or participate in any functions in violation of Part 97 of the FCC Rules and the Articles of Incorporation on file with the Secretary of the State of Texas, Austin, Texas.
